Terms of Sale

1. Scope

These Terms of Sale (“Terms”) govern purchases of software licenses and subscriptions for the My FANUC Tool desktop application and related services (collectively, the “Products”) from PathLogic Automation (“PathLogic,” “we,” “us”). By placing an order, you agree to these Terms.

2. Products

• Subscriptions (monthly or annual) for use on one device per license (hardware-locked).
• Enterprise options (e.g., volume/site licensing, offline activation) by written quote.

3. Pricing & Currency

Prices are listed in EUR and exclude VAT/sales tax unless stated. Your bank or card issuer may charge exchange or foreign transaction fees. We may change prices with notice; changes apply at your next renewal or new purchase.

4. Orders & Acceptance

Your order is an offer to buy the Products. We accept by delivering the download/access and issuing a license or by charging your payment method. We may reject or cancel an order for suspected fraud, non-payment, or legal compliance reasons.

5. Payment & Billing

• Payments are processed by Stripe. We do not store card numbers.
• Subscriptions auto-renew at the then-current price until canceled.
• Manage billing anytime via the Stripe portal: Manage Subscription.
• If a payment fails, Stripe may retry; licenses may be suspended until payment is resolved.

6. Trials

A 14-day free trial is available. The trial ends automatically; no charge unless you purchase. We may limit trials to prevent abuse (e.g., one trial per user/device/company).

7. Delivery & Activation

After purchase, you receive download access and a license activation. Licenses are hardware-locked and may require periodic online validation. Enterprise plans may support offline activation by agreement.

8. Cancellations & Refunds

• Subscriptions: Cancel anytime; service continues until the end of the current term. We don’t offer partial-term refunds unless required by law.
• Perpetual or first-time activations: Once delivered/activated, purchases are generally non-refundable except where law grants you a right to withdraw (see Section 9).
• Please contact admin@pathlogicautomation.com if you believe a charge is in error.

9. EU/UK Consumers — Right of Withdrawal (Digital Content)

If you purchase as a consumer in the EU or UK, you may have a 14-day withdrawal right for online purchases. For digital content not supplied on a tangible medium, this right is lost once delivery begins if you consent to immediate performance and acknowledge losing the right of withdrawal.

By downloading/activating the Software during the 14-day period, you request immediate performance and acknowledge that your withdrawal right is lost. If you do not wish to lose this right, wait 14 days before download/activation. Business customers (B2B) generally have no statutory withdrawal right.

10. Taxes & Invoices

Taxes (e.g., VAT) are collected where applicable and shown at checkout. Provide valid tax details (e.g., VAT ID) where relevant. We can issue VAT invoices upon request.

11. Chargebacks & Disputes

Contact us first to resolve billing issues. Unwarranted chargebacks may result in license suspension. We reserve all lawful remedies.

12. License & Usage Terms

Use of the Software is governed by the EULA, which is incorporated by reference. In any conflict, the EULA controls Software use and licensing scope.

13. Updates to Products or Terms

We may update Products (features, fixes) and these Terms. We’ll post changes here; material changes will be reasonably notified. Continued purchases or renewals after changes constitutes acceptance.

14. Export, Sanctions & Compliance

You must comply with all applicable export control and sanctions laws. You may not purchase or use the Products if prohibited by such laws.

15. Warranties & Liability

Products are provided “AS IS” as described in the EULA. To the maximum extent permitted by law, our liability is limited as set out in the EULA.

16. Governing Law & Venue

These Terms are governed by the laws of France. Courts in Paris, France have exclusive jurisdiction, except where consumer law gives you a different mandatory venue.
